General Terms and Conditions (GTC) of SupraFlow GmbH for FlowLyne

1. scope of application

These GTC apply to all services of SupraFlow GmbH, Greifswalder Str. 200 B, 10405 Berlin (hereinafter referred to as "FlowLyne"), represented by Franz Jordan and Josef Vataman. FlowLyne offers AI-supported telephone assistants for companies.

2. subject matter of the contract

FlowLyne provides AI telephone assistants to support customers with telephone enquiries. Use is at the customer's own risk and use for unlawful purposes is expressly prohibited.

3 Conclusion of contract and use of the demo

A contract between FlowLyne and the customer is concluded when the customer uses their own AI telephone assistant for the first time.

4 Terms of payment and invoicing

4.1 Minute price for FlowLyne services:
A minute price of € 0.50 net applies for the use of the FlowLyne AI telephone assistant. This price per minute only applies to the call time during which the AI assistant is actively making calls.

4.2 Minute price for forwarded calls:
A separate minute price of € 0.10 net is charged for forwarded calls. This price applies exclusively to the call time during which the forwarded call is active.

4.3 Billing and payment methods:
Billing is accurate to the second. Invoices are issued monthly by the third working day of the following month at the latest and automatically debited from the payment method stored.

4.4 Payment methods and due date:
The accepted payment methods are credit card, direct debit and PayPal. Payments are due immediately. A reminder fee of €10 will be charged for late payments.

5. duties and responsibilities of the customer

5.1 The customer undertakes not to use FlowLyne for unlawful purposes.

5.2 The customer is not entitled to pass on or resell the FlowLyne service or access data to third parties unless this has been expressly agreed in writing with SupraFlow GmbH.

5.3 FlowLyne reserves the right to block customer accounts and terminate contracts for good cause.

6. termination

The contract can be terminated by either party at any time without giving reasons. Notice of termination must be given in text form (e.g. by e-mail) and becomes effective upon receipt by the recipient. Services already provided or fees incurred up to the time of termination remain payable.

7. liability

7.1 FlowLyne shall only be liable for the amount paid by the Client for the Service.

7.2 FlowLyne accepts no liability for failures caused by force majeure or technical faults beyond FlowLyne's control.

7.3 FlowLyne endeavors to provide the service without interruption as far as possible. However, 100% availability cannot be guaranteed.

7.4. Planned maintenance work that leads to a temporary restriction or unavailability will be communicated to customers at least 24 hours in advance, if possible.

7.5 The customer is solely responsible for the content they provide for the FlowLyne service (e.g. welcome texts, call scripts). The customer shall ensure that this content does not infringe any third-party rights and complies with legal requirements.

7.6. FlowLyne assumes no liability for damages caused by incorrect, incomplete or illegal content provided by the customer.

7.7. The customer shall indemnify FlowLyne against all third-party claims arising from the use of the content provided.

8 Data protection and order processing

As part of the services offered, FlowLyne processes personal data on behalf of the customer. In accordance with Article 28 of the General Data Protection Regulation (GDPR), this requires the conclusion of a data processing agreement (DPA). The DPA is an integral part of the contractual relationship between FlowLyne and the customer and can be viewed at www.flow-lyne.com/avv. By agreeing to these General Terms and Conditions, the customer simultaneously accepts the terms of the DPA.

9. right of withdrawal

There is no right of withdrawal.

10. changes to the GTC

FlowLyne reserves the right to amend these GTC. Customers will be notified of any changes by e-mail. Continued use shall be deemed as consent to the amended terms and conditions.

11. data protection

FlowLyne undertakes to protect customer data in accordance with the statutory data protection regulations. Details on data processing are regulated in the privacy policy.

12 Applicable law and place of jurisdiction

German law shall apply to all disputes. The place of jurisdiction is Berlin.

13. final clause

Should a provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The parties undertake to replace the invalid provision with a provision that comes as close as possible to the economic purpose of the invalid provision.
